1. About Glenval Enterprises

Glenval Enterprises is a Payment Solution Provider, servicing its customer through established long running partnerships. Glenval Enterprises is registered in England and Wales. Our company is dedicated to providing top-notch services to our clients, ensuring the highest standards of quality and professionalism.

2. Service Agreement

Upon onboarding with Glenval Enterprises, Merchants will receive a Service Agreement that outlines the specific terms and conditions related to the services we will provide. No services will be rendered until this agreement is reviewed and signed by both parties. This ensures that all expectations and obligations are clear and agreed upon.

3. Acceptance of Terms

These Terms and Conditions ("T&Cs") constitute a legally binding agreement made between the Merchants whether personally or on behalf of an entity, the End users (defined as individuals who use the payment gateway services through the Merchant), all together defined as "you" or "your", and GLENVAL ENTERPRISES LIMITED ("Glenval", "we", "us", or "our"), concerning your access to and use of our services. You agree that by accessing the services, you have read, understood, and agreed to be bound by all of these T&Cs. Any misuse of the services will result in appropriate actions taken by Glenval, which may include suspension or termination of access to the services.

In addition, for services in AUD (including AUDD stablecoin), you agree that by accessing the services, you have read, understood, and agreed to be bound by the terms and conditions of AUDD Digital available via: https://audd.digital/audd- terms-and-conditions/

It is your responsibility to review any terms applicable to you regularly to ensure you are aware of any updates.

IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY

4. General Obligations of the User

  • Merchants are responsible for the necessary implementation of, or adaptation to, their ecommerce solution in order to enable communication with our services.
  • Merchants must carry out testing of the integration of their ecommerce solution with our services in accordance with our instructions before the service can be deployed. Merchants are responsible for any and all expenses incurred related to implementation and testing.
  • Merchants’ equipment and ecommerce solution must at all times comply with the requirements and specifications specified by us for the use of the service.
  • Merchants shall ensure that they have made the necessary agreements with card payment acquirers, other payment method providers, and their settlement bank, in connection to and prior to the use of the service.
  • You must inform us in writing and without undue delay of any change in your information that may affect the agreement or the services, including but not limited to changes to your address, telephone number, and e-mail address if required. The Merchants must also inform us of the termination or signing of agreements with card payment acquirers and/or other payment method providers.
  • You are responsible for the accuracy and completeness of the information supplied to us.

5. Privacy

By using the services, you agree to be bound by our Privacy Policy, which is incorporated into these T&Cs. If you access the services from any other region of the world than the United Kingdom with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in the United Kingdom, then through your continued use of the services, you are transferring your data to the United Kingdom, and you expressly consent to have your data transferred to and processed in the United Kingdom. In addition, for services in AUD (including AUDD stablecoin), you agree that by accessing the services, we may transfer your date outside the United Kingdom and you expressly consent to have your data transferred to and processed as such. 6. Onboarding and Account Security

To receive certain services, Merchants may need to go through an onboarding process where we will be required to carry out KYB and AML checks. Merchants agree to provide accurate and complete information during this and to keep this information up to date. You are responsible for all activities that occur under your account and must keep your account credentials secure.

7. Legal Advice Disclaimer

8. Indemnity

You agree to indemnify and hold harmless Glenval and its affiliates from any claims, losses, damages, liabilities, and expenses, including legal fees, arising out of your use of our services, violation of these T&Cs, or infringement of any third-party rights.

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BELIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WEHAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESSOF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US.

10. Representations and Warranties

You represent and warrant that:

  • You have the right, authority and capacity to enter into these T&Cs.
  • All information you provide is accurate and truthful.
  • Your use of our services will comply with applicable laws and these T&Cs.

11. Governing Law

These T&Cs are governed by and construed in accordance with the laws of England and Wales.

12. Changes to Terms

We may update these T&Cs from time to time. Any changes will be posted on this page with an updated effective date. Your continued use of our services after any changes indicates your acceptance of the new terms.
